This training license becomes active upon first annual payment then continues for the term checked below. Payment is due in full upfront.

Licensor owns the Cardone University Interactive Training Center product; including related copyrights, trademarks and business methods; Licensor is in the business of licensing the Product to companies in various markets for the purpose of training and education.

The Veteran Servicemember, hereinafter referred to as “Licensee,” wishes to obtain an individual license to use the Product for the term of this Agreement. Licensor hereby grants Licensee a limited use license to use the Product for personal training only. Licensee may not resell the product or use it for the purpose of training others. This license is an individual license with a maximum not to exceed 1 I.P. address for the purpose of this agreement. Licensee agrees to the terms of the License as stated herein and the terms and conditions contained in Attachment I and Attachment II – Definitions.

Attachment I

1. Grant of Rights

Licensor hereby owns all trademarks and service marks associated with the Products, including Cardone University Interactive Training Center (CU-ITC). Licensor owns all rights and title to copyrights in the CU-ITC, the techniques and the instructions (“Works”); and the Licensor is the owner of all processes, patentable or otherwise in the Products as a business method (“Methods”). Licensor hereby grants Licensee a limited use license in the right to use the Works and Methods for the term of this Agreement and under the terms of this Agreement. Any training, logos, trademarks, Works or other custom content added by Licensee, remains the property of Licensee.

2. Terms and Termination

This is a legally binding, non-refundable contract for the term provided herein. Licensee may use the CU-ITC for the term of the Agreement. After the termination of this Agreement, Licensee agrees that it will not use the CU-ITC, or any similar variants of the same. Licensee also agrees to delete any electronically stored copies of the CU-ITC, or related materials from any computer or system within the control of the Licensee. Charges will commerce on the executed contract date. Charges to your account are due and payable in full upon receipt your invoice.

3. Indemnity, Confidentiality, Non-Circumvention

Licensee agrees to indemnify and hold Licensor harmless against any loss, expense, or damages incurred by Licensor because of claims relating to or arising from Licensee’s conduct, including without limitation (a) any breach of this Agreement by Licensee; (b) any illegal violation of the intellectual property rights of any third party under copyright, trademark or patent law of the United States or any other country. Licensee agrees to safeguard Licensor’s Confidential Information to the best of their ability from unauthorized disclosure, access, use and misappropriation.

4. Entire Agreement

This Agreement is the entire agreement of the Parties related to the subject matter hereof, and supersedes any and all prior representations, negotiations, agreements and understandings, written and/or oral, between the Parties.

5. Notices

All notices shall be in writing and shall be addressed (a) if to Licensor, to CTTI, 300 71st Street, Suite 620, Miami Beach, FL 33141, grantcardone.com/customersupport, facsimile 310 777 0256 or (b) if to Licensee at such other address and/or facsimile number as such party may have specified by earlier notice to the sender.

6. Amendment

This Agreement may not be amended, modified or changed, in whole or in part, except by a written agreement signed by the Parties.

7. Legal Dispute

In the event a legal dispute arises, Licensor shall have the right to collect from the licensee its reasonable costs and necessary disbursements and attorney’s fees incurred in enforcing this agreement.

Attachment II – Definitions

1. Veteran Definiton

Veteran status, as reported in this file, is defined in accordance with 38 USC § 101 (2). The term “veteran” means a person who served in the active military, naval, or air service, and who was discharged or released therefrom under conditions other than dishonorable.

2. Servicemember

The term "servicemember" means a member of the uniformed services, as that term is defined in 10 USC § 101(a)(5).

3. Active Duty Definition

Active Duty status, as reported in this file, is defined in accordance with 10 USC § 101(d) (1). Prior to 2007, DMDC only received information on active duty periods of more than 30 consecutive days. In the case of a member of the National Guard, Active Duty includes service under a call to active service authorized by the President or the Secretary of Defense under 32 USC § 502(f) for purposes of responding to a national emergency declared by the President and supported by Federal funds. All Active Guard Reserve (AGR) members must be assigned against an authorized mobilization position in the unit they support. This includes Navy Training and Administration of the Reserves (TARs), Marine Corps Active Reserve (ARs), and Coast Guard Reserve Program Administrator (RPAs). Active Duty status also applies to a Uniformed Service member who is an active duty commissioned officer of the U.S. Public Health Service or the National Oceanic and Atmospheric Administration (NOAA Commissioned Corps).

4. National Guard

The term "National Guard" means a member of the uniformed services, as that term is defined in 32 USC § 101(5) and (6).

5. Reserves

The term "Reserves" means a member of the uniformed services, as that term is defined in 10 USC § 10150 through 10154.
